1. Agreement to Terms

Welcome to SaaSCity.io. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and SaaSCity.io ("we," "us," or "our"), concerning your access to and use of the SaaSCity.io website and related services (collectively, the "Service").

By accessing the Service, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. The Service

2.1 Marketplace Venue (User Listings)

For "User Listings" (products listed by third-party users), SaaSCity.io acts strictly as a venue/platform. We allow users to list codebases and digital assets.

We are not a party to these transactions. We do not handle payments, escrow, or delivery for User Listings. Buying a User Listing requires contacting the seller directly and negotiating the sale off-platform or via direct arrangement. We expressly disclaim all liability for these private transactions.

2.2 Partner Products (Direct Sales)

For "Partner Products" (e.g., "The Ultimate Boilerplate" or official SaaSCity assets), SaaSCity.io acts as the direct seller. When you purchase these specific items through our checkout system, you are buying directly from us.

2.3 Gamified Features & Virtual Assets

The Service includes gamified elements, such as the "City Map," "Plots," "Buildings," and "Leaderboards" (collectively, "Virtual Assets").

• License, Not Ownership: You acknowledge that "claiming" a plot or "building" a tower is a limited, non-exclusive, revocable license to use that virtual space within the Service. You do not own any legal title to the "land" or digital assets in the City.
• Game Mechanics: The visual representation of your project (e.g., tower height, appearance) is determined by our algorithms based on metrics like traffic, sales, or updates. We reserve the right to adjust these algorithms at any time to balance the ecosystem.
• Asset Management: We reserve the right to relocate, resize, or remove Virtual Assets for any reason, including but not limited to aesthetic changes, map expansions, or Terms violations, without compensation.

2.4 Promotions & Advertising Services

The Service offers paid promotion tools, including featured boosts for listings and launches, SaaSCity sponsorships, ticker ads, and billboard ads. Promotions are time-based placements intended to increase visibility within the Service.

• Availability: Promotion inventory is limited, and placements are granted on a first-come, first-served basis once payment is confirmed.
• Duration: Promotions run for a fixed term (generally 30, 120, or 180 days depending on the product) and expire automatically at the end of the term.
• Placement Changes: We may reposition or reformat promotions for layout, map updates, or policy enforcement.
• No Guarantee: We do not guarantee clicks, conversions, placement position, or a specific number of impressions.
• Editorial Control: We may review, reject, remove, or pause promotion content that violates these Terms or our policies.
• No Endorsement: Promotions are paid placements and do not represent our endorsement of any product or service.

2.5 Analytics and Measurement

We use analytics tools, including Google Analytics, to measure traffic and product usage (such as page views and core interaction events). By using the Service, you acknowledge that analytics processing may occur as described in our Privacy Policy.

3. Eligibility and Account

• Age Requirement: You must be at least 18 years old to use the Service.
• Registration: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Security: You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account.

3.1 Global Availability & Restricted Jurisdictions

As we aim for global markets, we reserve the absolute right to determine which regions, countries, or jurisdictions we serve. We may strictly prohibit users from certain territories based on our internal business decisions, including but not limited to: high fraud risk, tax compliance complexity, regulatory uncertainty, or operational costs.

We expressly disclaim any liability for denying access to the Service or rejecting transactions from specific jurisdictions. Any attempt to circumvent these restrictions (e.g., using VPNs, proxy servers, or false billing information) constitutes a material breach of these Terms and may result in immediate account termination.

4. User Obligations

4.1 Sellers

If you list a Product for sale, you represent and warrant that:

• You are the sole and exclusive owner of all rights, title, and interest in the Product, or have obtained all necessary rights and licenses to sell it.
• The Product does not contain any malicious code, viruses, or security vulnerabilities involved in a cyberattack.
• You will deliver the Product and its associated assets to the Buyer promptly upon confirmation of payment.
• Your listing description is accurate, truthful, and complete.

4.2 Buyers

If you purchase a Product, you acknowledge and agree that:

• You are responsible for reading the full listing before committing to buy.
• You enter into a legally binding contract to purchase a Product when you complete the checkout process.
• We do not transfer legal ownership of items from the seller to the buyer.
• All sales are final, subject to the Seller's specific refund policy (if any).

5. Fees and Payments

5.1 Payments to SaaSCity

We use Stripe to process payments for:

By making a purchase, you also agree to Stripe's Services Agreement and related terms.

• Partner Products: Direct purchases of our downloadable goods.
• Services: Fees for "boosting" or featuring your User Listings.

Digital Products & Delivery:

• Directory List (CSV): Downloadable file for your own workflow.
• Directory Submission Checklist: Access to the interactive checklist inside your account.
• AI SaaS Boilerplate: Downloadable source code and assets.

These are one-time purchases (no subscriptions). Delivery is digital only. Access is tied to the email used at checkout and made available in your account immediately after payment confirmation.

Refund Policy & Right of Withdrawal:
EU Consumers: Before checkout, you may be asked to expressly consent to immediate access for digital content and acknowledge that you thereby lose your right of withdrawal once the download or access has started. By completing the purchase after giving that consent, you request immediate performance of the contract and waive the right of withdrawal for those digital products and services once access begins. Therefore, all sales of digital products and services are final and non-refundable once access is granted.
Exceptions: If you strictly reside in a jurisdiction where this waiver is not enforceable, or if you have not yet accessed/downloaded the content, you may request a refund within 14 days of purchase by contacting [email protected].

5.2 User Listing Transactions

We do not process payments for sales between users. Any financial transaction for a User Listing is solely between the Buyer and Seller. We do not charge a commission on these private sales.

5.3 Promotions, Sponsorships, and Advertising

Payments for boosts, sponsorships, ticker ads, and billboard ads are processed by Stripe and are subject to Stripe's terms. Promotion reservations are held for a short period during checkout and expire if payment is not completed.

Refunds: All digital purchases are final and non-refundable. The only exception is when a technical issue on our side prevents a paid promotion from displaying correctly or at all; in that case we will provide either a pro-rated refund or a comparable replacement placement at our discretion.

5.4 Taxes, Chargebacks, and Failed Payments

You are responsible for any applicable taxes associated with your purchases. If a payment fails or is reversed, we may suspend access to the associated promotion or digital product. Excessive chargebacks or payment disputes may result in account suspension.

6. Intellectual Property Rights

6.1 Our IP

Unless otherwise indicated, the Service and its entire contents (excluding User Content), features, and functionality are owned by us, our licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 User Content License

By posting content (listings, comments, images) on the Service, you grant us a non-exclusive, worldwide, royalty-free, sub-licensable license to use, reproduce, modify, adapt, publish, and display such content in connection with providing and promoting the Service (including displaying it as part of our City Map gamification layers).

6.3 Partner Product License

When you purchase a "Partner Product" (e.g., boilerplates, UI kits, code bundles) directly from us, you are granted a non-exclusive, non-transferable, lifetime license to use the product for personal or commercial projects.

Allowed:

• Using the source code to build unlimited end-products (SaaS, apps, websites) for yourself or clients.
• Monetizing the end-products you build using the code.

Prohibited:

• Re-selling, sharing, or redistributing the source code itself (unmodified or modified) as a standalone product, template, or library.
• Open-sourcing the codebase in a public repository where others can access it for free.

6.4 Access to Purchased Assets

Upon successful payment for a Partner Product, the digital assets (source code, documentation, etc.) will be automatically linked to your account. You can access and download your purchased assets at any time by logging into the Dashboard and navigating to the "Purchases" section. Access to these downloads is granted for as long as the Service remains active ("lifetime of the site").

7. Prohibited Activities and Listings

You may not access or use the Service for any purpose other than that for which we make the Service available. As a platform leveraging Stripe for payments, strict adherence to Stripe's Restricted Businesses policy is required.

7.1 Prohibited Listings

You are strictly prohibited from listing, selling, or promoting any projects, codebases, or services related to:

• Illegal Products and Services: Anything illegal in the jurisdiction where you or the buyer reside, including drugs, drug paraphernalia, and fake IDs.
• Adult Content: Pornography, sexually explicit materials, or adult services.
• Gambling: Online casinos, sports betting, lotteries, or games of chance with monetary prizes.
• Weapons and Explosives: Firearms, ammunition, explosives, or dangerous materials.
• Deceptive Practices: Get-rich-quick schemes, pyramid schemes, or projects designed to defraud users.
• Restricted Financial Services: Unlicensed money transmission, cryptocurrency exchanges (without prior approval), or high-risk financial products.
• Social Media Automation: Bots, scrapers, or tools designed to violate the Terms of Service of major platforms (e.g., Instagram, Twitter/X).
• Intellectual Property Infringement: Selling code or assets you do not own or have the explicit right to resell (e.g., nulled scripts, stolen themes).

7.2 General Prohibited Activities

In addition to the above, you agree not to:

• Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Circumvent, disable, or otherwise interfere with security-related features of the Service.
• Engage in unauthorized framing of or linking to the Service.
• Sell or transfer your profile.
• Use the Service to advertise or offer to sell goods and services that are not relevant to software development or the purpose of the platform.

7.3 Game Integrity & Fair Play

To ensure a fair environment for our gamified ecosystem, you agree not to:

• Artificial Inflation: Use bots, scripts, automated programs, or click-farms to artificially inflate view counts, upvotes, or any data point used to calculate leaderboard rankings or tower height.
• Exploitation: Exploit bugs, glitches, or vulnerabilities in the City Map mechanics to gain an unfair advantage.
• Collusion: Coordinate with other users to manipulate market prices or leaderboard standings artificially.

7.4 Promotion Content Standards

For sponsors, ticker ads, billboards, and featured boosts, you agree that:

• Your ad content and destination URLs are accurate, lawful, and not misleading.
• You own or have permission to use any images, trademarks, or other content in your promotions.
• Your promotions do not include malware, tracking intended to exploit users, or deceptive redirects.
• You will not submit promotions for prohibited or restricted businesses listed in these Terms or Stripe policies.

Enforcement: We reserve the right to remove any listing, promotion, or Virtual Asset placement that violates these policies or that we deem inappropriate for the platform at our sole discretion, without prior notice or refund. We may report prohibited activity to payment processors or authorities where required. Repeated violations will result in permanent account suspension.

8. Disclaimer of Warranties

To the fullest extent permitted by applicable law, in no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

11. Governing Law and Jurisdiction

These Terms shall be governed by and defined following the laws of Poland. SaaSCity.io and you irrevocably consent that the courts of Poland shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

EU Dispute Resolution: If you are a consumer residing in the European Union, you may also be eligible to use the European Commission's Online Dispute Resolution (ODR) platform, available at ec.europa.eu/consumers/odr.
